This 替换词 TDK License Agreement (“Agreement”) is a legal agreement between You and 替换词, concerning Your use and distribution of the TDK. BEFORE DOWNLOADING OR USING THE TDK, PLEASE CAREFULLY READ THE AGREEMENT. BY DOWNLOADING, INSTALLING, COPYING, RUNNING, USING, DISTRIBUTING, OR OTHERWISE DISPOSING THE TDK, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, PLEASE DO NOT DOWNLOAD, INSTALL, COPY, RUN, USE, DISTRIBUTE, OR OTHERWISE DISPOSE THE TDK.

本替换词TDK许可协议（“协议”）是您与替换词之间，就您使用TDK而订立的◇法律协议。在下载或▴使用TDK之前，请您仔细▹阅读本协♢议。 您一旦下★载、安装、拷贝、运行、使用、发行或以♢其他方式●处置TDK，则表示您▸同意受本✿协议约束。 如果您不✭同意本协▲议，请不要下※载、安装、拷贝、运行、使用、发行或以▿其他方式‣处置TDK。

1. License. If You comply with the terms and conditions herein, 替换词 grants You a limited, revocable, worldwide, non-exclusive, non-transferable right and license to (i) reproduce, use and modify the Firmware solely for the purpose of creating the Firmware File; (ii) install, use and reproduce the Tools solely for the purpose of developing, testing, providing or selling Products and/or Service; and (iii) make a reasonable number of copies of the Documentation, and use and modify the Documentation solely to support Your use or distribute of the TDK. Subject to 替换词’ prior approval, You may distribute the TDK, or any part thereof, to Your customers, provided that You shall: (i) cease from distributing once 替换词 requires You to do so; (ii) inform Your customers of complying with this Agreement; and (iii) enclose a copy of this Agreement to the items You distribute to Your customers and ensure that they can receive such copy.

2. Restrictions. Without 替换词’ prior written consent, You agree not to, or to enable others to: (i) reproduce, install, use, modify, distribute or otherwise dispose the TDK, or any part thereof, except as expressly permitted by this Agreement; (ii) decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt the TDK, or any part thereof provided by 替换词 in object code form (except as and only to the extent any foregoing restriction is prohibited by applicable law); (iii) sell, license, sublicense, lease or rent the TDK, or any part thereof; (iv) remove or alter any copyright, trademark or patent notice in the TDK; and (v) export, reexport, download, or otherwise use the TDK in violation of any laws or regulations, including U.S. Department of Commerce Export Administration Regulations and other applicable laws.

3. Confidentiality. If any Confidential Information is disclosed by 替换词 to You, You shall hold the Confidential Information in confidence, using the same degree of care as it used to protect the confidentiality of your own confidential information, but in no event less than reasonable care. You may authorize access to the Confidential Information only to those officers or employees who have a need to know the same for accomplishing the purpose of this Agreement.

4. Ownership. There are no implied licenses granted under this Agreement. Except as expressly licensed to You herein, 替换词 (and its suppliers, when applicable) retains all right, title and interest in and to the TDK. 替换词 may freely use and disseminate any Feedback You provide. You agree not to claim that 替换词 owes You any compensation for its use or dissemination of such Feedback.

5. Intellectual Property. 替换词 represents and warrants to You that the TDK is researched and developed by 替换词 independently and 替换词 has relevant intellectual property rights with regard to the TDK (other than the intellectual property rights 替换词 has licensed from its suppliers). 替换词 represents and warrants to You that, to the best of its knowledge, 替换词 is not aware of any third party claim made against 替换词 that the TDK infringes any third party’s intellectual property rights.

6. Third Party IP. The TDK may include certain third party’s intellectual property rights. To the best of 替换词’ knowledge, 替换词 is free, or has obtained necessary license from applicable third party licensor for using and distributing such third party licensor’s intellectual property rights incorporated into the TDK. However, under certain third party’s license policy with respect to their intellectual property rights (i.e. technology with respect to MP3 licensed by Thomson and/or Sisvel, or technology with respect to Windows media licensed by Microsoft), You may be responsible for obtaining written license necessary for You to use such third party’s intellectual property rights and You may be required to pay royalties to such third party licensor. Notwithstanding the foregoing, 替换词 will not deliver to You the portion of the TDK containing such third party’s intellectual property rights until You have obtained such written license if such third party licensor requires 替换词 to do so. YOU HEREBY AGREE THAT IT’S YOUR SOLE RESPONSIBILITY TO PAY SUCH ROYALTIES.

7. Disclaimer of Warranty. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TDK IS PROVIDED ON AN “AS IS” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND ACTIONS HEREBY DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE TDK, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, ERROR-FREE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

8. Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL ACTIONS BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE TDK, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF ACTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall 替换词’ aggregate liability to You for all damages exceed the amount of five dollars ($5.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

9. Indemnification. You agree, at Your own expense, to defend (or at Your option, settle) any lawsuits, judicial actions or similar proceedings brought against 替换词 and/or its Affiliates and their respective directors, officers and employees (“Indemnified Party”) for any third party claim(s) based upon (i) features or attributes present in the TDK or the Firmware File wherein such features or attributes are generated by You through modifying the TDK and not provided by 替换词 in the original TDK; or (ii) any breach of this Agreement by You. Such lawsuits, judicial actions or similar proceedings are referred to as “Claims”. You agree to indemnify and hold the Indemnified Party harmless from and against any damages, costs and fees reasonably incurred (including reasonable attorneys’ fees) that are attributable to the Claims and which are assessed against the Indemnified Party in an adverse final judgment (or a settlement to which You consent).

10. Term. This Agreement shall become effective upon Your agreement to be bound by the terms and condition of this Agreement (as manifested by the conduct described in the first paragraph above), and shall remain effective until terminated.

11. Termination. 替换词 may terminate this Agreement upon written notice to You if You (i) materially breach any obligation under this Agreement which breach is not capable of remedy; (ii) materially breach any obligation under this Agreement which breach is capable of remedy but which is not remedied within thirty (30) days (or other deadline that 替换词 consents to) after written notice specifying the breach; (iii) become bankrupt, or are the subject of proceedings for liquidation or dissolution, or cease to carry on business or becomes unable to pay Your debts as they come due. You may terminate this Agreement for any reason at any time upon written notice to 替换词.

终止。 替换词可书✭面通知您•以立即终❀止本协议，如果您有▹如下行为：（1）重大违约，且该违约♦不可补救；（2）重大违约，该违约可▴以补救但◤收到违约✪通知后三❉十（30）日（或替换词同◦意的其他⊙期限）内没有补▿救；（3）破产，或者成为❋解散或清✪算程序的▵对象，或者歇业，或者无力☆偿还到期♦债务。 您可以任❖何理由随❈时向替换词发出书面◣通知以终★止本协议。

12. Effect of Termination. All licenses granted with respect to this Agreement shall terminate as of the effective date of termination of this Agreement. Upon any termination of this Agreement, You shall promptly either return to 替换词 any and all copies of the TDK, or promptly provide a written notice to 替换词 which proves the destruction of all copies thereof. Notwithstanding anything to the contrary in this Agreement, the Sections of 3, 4, 5, 6, 7, 8, 9, 12, 13 and 14 shall survive any termination of this Agreement.

终止效力。 本协议终〓止后，与本协议▪相关的授▲权随即终◤止。 本协议终✦止后，您应立即▴将TDK的所有副※本归还替换词，或立即出◆具书面通▽知证明已■■将TDK的所有副▣本销毁。 无论本协♦议有何其◆他规定，第3、4、5、6、7、8、9、12、13条以及第14条在本协▵▵议终止后▣持续有效。

13. Entire Agreement. This Agreement are the complete agreement of the parties hereto relating to the subject matter hereof. This Agreement supersedes and governs any other prior or collateral agreements (whether express or implied, written or oral) with respect to the subject matter hereof. This Agreement may be amended at any time upon mutual agreement by 替换词 and You. 替换词 further reserves the right to make changes to this Agreement. It is Your responsibility to check this Agreement periodically for changes. 替换词 may, but is not obligated to, provide You with reasonable notice either electronically or by positing notice of the change at 替换词’ website. If You continue to use the TDK more than fifteen (15) days after the change has been made, You shall be deemed to have accepted the changes.

本协议构⊙⊙成双方就▼协议标的♡所达成的‣完整协议。 本协议取■代先前双◆方就协议▴▴标的所达‣成的任何❉❉双方协议（无论明示♡的还是默▽▽示的，书面的还♧是口头的）。经您与替换词协商一◢致，可随时修▼改本协议。 替换词保留◇修改本协✫议的权利。 您应当定⊕期查看本·协议以确❈定是否有❖修改。 替换词也可▽丨以，但无义务，以电子方▾式或在替换词网站张◎贴通知等∷合理方式•通知您。 若您在修✦改作出后◣十五（15）日后仍继◇续使用TDK，则表示您▵已同意这▪些修改。

14. Other Terms. This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China, without respect to its conflict of laws provisions. If any provision of this Agreement is held to be illegal or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remainder of this Agreement will continue in full force and effect and be enforceable. Any breach of this Agreement could cause 替换词 irreparable harm and 替换词 has the right to seek temporary or permanent injunctive or other similar relief in any court or other authority of competent jurisdiction in respect of any claims of breach of confidentiality or intellectual property right infringement or for an order of specific performance or other injunctive relief as permitted under applicable Laws. You may not assign or transfer any of Your rights or obligations under this Agreement without 替换词’ prior written consent, and any attempt to do so will be null and void. This Agreement will be binding upon each party’s respective permitted successors and assigns.

Glossary of Definitions

定义清单

“替换词” means 替换词 Co., Ltd., a corporation duly organized and existing under the laws of People's Republic of China and having its principal office and place of business at No.1, Ke Ji Si Road, Hi-Tech Zone, Zhuhai, Guangdong, China.

“替换词”指替换词，一家依据中华人民共和国法律设立的公司，主营业地址为中国广东省珠海市唐家湾哈工大路1号-15-A101。

“替换词 Chip” means the semiconductor chip designed and provided by 替换词.

“替换词芯片”指替换词研▽发并提供▸的半导体♧芯片。

“Affiliate” means, with respect to any legally recognizable entity, any other such entity Controlling, Controlled by, or under common Control with such entity. “Control” means direct or indirect (i) ownership of more than fifty percent (50%) of the outstanding shares representing the right to vote for members of the board of directors or other managing officers of such entity, or (ii) for an entity that does not have outstanding shares, more than fifty percent (50%) of the ownership interest representing the right to make decisions for such entity. An entity shall be deemed an Affiliate only so long as such Control exists.

任何法律♡实体的“关联公司”指该实体♢控制的、或控制该▿实体的、或与该实▪体处于共✪同受控制▿下的另一△个法律实∷∷体。“控制”指直接或❖间接（i）拥有此类▵实体50%以上的、体现董事◉会成员或✿其它管理♢人员选举◇权的已发❋行股票；或（ii）对于没有✧发行股票◢的实体，拥有此类♢实体50%以上的、体现决策♧♧权的所有◎者权益。只有这种✫控制存在✫时，某一实体◈才应视为✭另一实体∷的关联公◣司。

“Confidential Information” means any and all confidential or proprietary information that 替换词 may disclose to You in connection with this Agreement.

“保密信息”指替换词可♦♦能向您披◉露的所有◥◥与本协议❋相关的保〓密的或专◦◦有的信息。

“Documentation” means any user manuals, reference manuals, release notes, application notes, production guide, hardware design guide, schematics, specifications, bill of materials and other materials provided by 替换词, directly or indirectly, for use with the TDK.

“文档”指替换词为▸供您使用TDK而直接或◦间接提供⊙的任何用▲户手册、参考手册、发行说明、应用说明、生产指南、硬件设计❈指南、原理图、规格书、材料清单▾及其他材✪料。

“Feedback” means any bug report, ideas or suggestions You voluntarily provide to 替换词 (in any manner, whether in writing or orally or otherwise) regarding the TDK and/or the Firmware File, including possible enhancements or improvements.

“反馈”指您以书◉◉面、口头或其▹它方式自◥◥愿提供给▼丨替换词的♦关〓〓于TDK及/或固件文✯✯件的漏洞◈报告、思想或建★议，包括可能▣的增强或✫改进。

“Firmware” means platform support packages plus cases provided by 替换词 to You directly or indirectly.

“固件”指替换词直✿接或间接♦提供给您◆的平台开❀发支持包❉及实例。

“Firmware File” means the file created by you using the TDK as the firmware for the 替换词 Chip.

“固件文件”指您使用TDK创建的适◆用于替换词芯片的固◦件文件。

“Product” means Your product incorporating 替换词 Chip and Firmware File.

“产品”指集成了〓替换词芯片►及固件文▼▼件的您的⊕产品。

“Service” means the service provided by You to Your customers with respect to 替换词 Chip and/or Your Product.

“服务”指您向您▴▴的客户提✫供的关于··替换词芯片✩或产品的♦服务。

“TDK” means the total solution develop kit, including, but not limited to, the Firmware, the Tools, the Documentation and other programs, codes or materials, and any updates, upgrades or modified versions thereto, if any, provided by 替换词 to You directly or indirectly.

“TDK”指替换词直▲接或间接♡提供给您✭的完整解❉决方案开◣发包，包括但不▴限于固件、工具、文档以及❋其他程序、代码、材料，以及前述◇的更新、升级或版▣本修改（如有）。

“Tools” means end user tools, media player utilities, product tools, hardware detection tools and other tools indicated by 替换词 as the “Tools” and provided by 替换词 to You directly or indirectly.

“工具”指由替换词直接或间○○接提供的▼最终用户◦工具、媒体播放◦器实用工♡具、产品工具、硬件检测✫工具及其▪他工具。
